Any reference in these Bylaws or in corporate materials to “members” describes supporters, donors, or program participants, none of whom has any right to vote for directors or on other corporate matters. All rights that would otherwise vest in members are vested in the Board of Directors.
-
4.1 General Powers. The business and affairs of the corporation shall be managed by or under the direction of the Board of Directors.
4.2 Number and Qualifications. The Board shall consist of at least five (5) directors. The Board shall fix the number of directors from time to time.
4.3 Election and Term. Directors are elected by the Board at its annual meeting. Each director serves a three-year term and until a successor is elected and qualified, or until the director’s earlier death, resignation, removal, or disqualification. Terms shall be staggered so that, as nearly as practicable, an equal number expire each year.
4.4 Term Limits. A director may serve up to three consecutive three-year terms. After a one-year break in service, a former director is again eligible for election. Service for a partial term to fill a vacancy does not count toward this limit.
4.5 Removal. A director may be removed at any time, with or without cause, by a majority of the other directors. Removal is effective when written notice is delivered to the removed director.
4.6 Resignation. A director may resign at any time by giving written notice to the President, Vice President, or Secretary. The resignation is effective on receipt unless it specifies a later date.
4.7 Vacancies. Vacancies on the Board, including those created by an increase in the number of directors, may be filled by a majority of the remaining directors, even if less than a quorum. A director elected to fill a vacancy serves for the remainder of the unexpired term and until a successor is elected and qualified.
4.8 Annual and Regular Meetings. The Board shall hold an annual meeting to elect directors and officers and to transact other business. The Board may set a schedule of regular meetings. Notice of the date, time, and place of a meeting shall be given at least twenty-four (24) hours in advance by oral notice, or at least two (2) days in advance by written notice, which may be delivered by mail or by authenticated electronic communication. Notice need not state the purpose of the meeting unless required by law or these Bylaws. No notice is required for meetings held on a schedule the Board has adopted or announced at a prior meeting. A director may waive notice before, at, or after a meeting, in writing or by attending, except a director who attends solely to object at the outset that the meeting is not lawfully called or convened and who does not thereafter participate.
4.11 Quorum and Voting. A quorum is not less than one-third of the directors currently holding office, but in no event fewer than three (3). In the absence of a quorum, a majority of directors present may adjourn the meeting until a quorum is present. If a quorum is present when a meeting is convened, the directors may continue to transact business despite the withdrawal of directors. The act of a majority of directors present at a meeting at which a quorum is present is the act of the Board, unless a greater vote is required by law, the Articles of Incorporation, or these Bylaws.
4.12 Remote Participation. A director, or a member of a committee, may participate in a meeting by any means of communication through which all participants may simultaneously hear one another, if the same notice is given as for any meeting and enough persons participate to constitute a quorum. Participation by these means constitutes presence in person at the meeting.
4.13 Action Without a Meeting. Any action required or permitted to be taken at a Board meeting may be taken by written action signed by all of the directors. The written action shall be filed with the records of the corporation.
4.14 Compensation. Directors shall receive no compensation for their service as directors but may be reimbursed for reasonable expenses as the Board determines. Nothing in this Section precludes a director from serving the corporation in another capacity and receiving reasonable compensation for that service, subject to Article VII.

Each officer serves until a successor is elected and qualified, or until the officer’s earlier death, resignation, removal, or disqualification.
